GOLDEN WEB MARKETING CUSTOMER AGREEMENT

This Customer Agreement governs all services provided by Golden Web Marketing, including but not limited to website design, website development, website hosting, website maintenance, search engine optimization, Google Business Profile support, Google Ads management, pay-per-click advertising management, content creation, technical support, consulting, and related digital marketing services.

By approving an invoice, submitting payment, checking an agreement checkbox, signing a proposal, signing an agreement, communicating written approval, or allowing Golden Web Marketing to begin or continue services, the Client acknowledges that they have read, understood, and agreed to be bound by the terms of this Customer Agreement.

This Customer Agreement is intended to apply generally to all Golden Web Marketing clients unless a separate written agreement signed by both parties states otherwise.

  1. DEFINITIONS

For purposes of this Agreement:

“Service Provider,” “Company,” “Golden Web Marketing,” “we,” “us,” or “our” refers to Golden Web Marketing.

“Client,” “Customer,” “you,” or “your” refers to the individual, business, organization, or entity purchasing or receiving services from Golden Web Marketing.

“Agreement” refers to this Customer Agreement, together with any applicable invoice, proposal, scope of work, estimate, written approval, or service description provided by Golden Web Marketing.

“Services” refers to any work performed by Golden Web Marketing, including website services, hosting, maintenance, SEO, Google Ads management, content creation, support, consulting, technical work, advertising management, or other digital marketing services.

“Invoice” refers to any payment request, subscription invoice, one-time invoice, recurring billing invoice, or payment link issued by Golden Web Marketing.

“Monthly Services” refers to ongoing services billed on a recurring monthly basis.

“Project Services” refers to one-time or fixed-scope work such as website setup, redesign, landing page creation, technical fixes, or other defined deliverables.

“Third-Party Platforms” refers to external tools and platforms not owned by Golden Web Marketing, including but not limited to Google, Google Ads, Google Analytics, Google Search Console, Google Business Profile, WordPress, Elementor, hosting providers, domain registrars, plugins, themes, CRMs, email platforms, payment processors, call tracking systems, and social media platforms.

  1. ACCEPTANCE OF AGREEMENT

The Client agrees to this Customer Agreement by any of the following actions:

Paying an invoice

Approving a proposal

Checking an agreement checkbox

Submitting a payment form

Signing a digital or physical agreement

Providing written approval by email, text, form submission, or other written communication

Allowing Golden Web Marketing to begin work

Continuing to use Golden Web Marketing’s services after receiving or having access to this Agreement

Payment of an invoice constitutes acceptance of this Agreement and serves as authorization for Golden Web Marketing to begin or continue the services described in the invoice, proposal, or written service description.

The Client understands that the invoice, payment link, or proposal may describe the specific services being purchased, while this Customer Agreement provides the general legal terms that govern those services.

If there is a conflict between this Customer Agreement and a separate written agreement signed by both parties, the signed written agreement will control only for the specific services covered by that agreement.

  1. SCOPE OF SERVICES

Golden Web Marketing may provide one or more of the following services depending on the invoice, proposal, written scope, or service package purchased by the Client:

Landing page creation

Website hosting

SSL setup

Website maintenance

Website updates

Website support

Website troubleshooting

Website security support

Website backups

WordPress setup and management

Plugin installation and configuration

Theme setup and customization

Website speed optimization

Technical SEO

On-page SEO

Local SEO

SEO content writing

Service page creation

Location page creation

Blog content creation

Internal linking

Metadata optimization

Google Search Console setup

Google Analytics setup

Google Site Kit setup

Google Tag Manager setup

Google Business Profile setup and optimization

Google Ads setup

Google Ads management

PPC campaign management

Keyword research

Ad copywriting

Campaign optimization

Conversion tracking setup

Call tracking setup

Form tracking setup

Digital marketing consulting

Reporting

General digital marketing support

The specific services included for a Client are determined by the invoice, proposal, written scope of work, or plan selected by the Client.

Any service not clearly listed in the invoice, proposal, or written scope is not included unless Golden Web Marketing agrees to include it in writing.

  1. WEBSITE DESIGN AND DEVELOPMENT SERVICES

If the Client purchases website design, website development, landing page creation, redesign, or related website services, Golden Web Marketing will perform the work based on the agreed scope, available assets, Client-provided information, and project requirements.

Website services may include:

Website layout design

Page design

Mobile-responsive setup

Theme setup

WordPress configuration

Page builder configuration

Content placement

Basic image optimization

Contact form setup

Basic SEO setup

Website launch support

Basic technical setup

The Client understands that websites are built based on the package purchased, business needs, available content, platform limitations, and reasonable professional judgment by Golden Web Marketing.

Unless specifically included in writing, website services do not include:

Unlimited pages

Unlimited revisions

Custom software development

Custom plugin development

Advanced web applications

Complex booking systems

Advanced e-commerce functionality

Membership portals

Client dashboards

CRM automation

Advanced API integrations

Legal policy drafting

Logo design

Brand identity development

Professional photography

Video production

Copywriting beyond the agreed scope

Ongoing content updates beyond the agreed scope

Golden Web Marketing may use templates, themes, plugins, frameworks, page builders, AI tools, stock assets, licensed tools, third-party integrations, or internal workflows to complete website projects efficiently.

  1. WEBSITE REVISIONS

Unless otherwise stated in writing, website projects and website-related monthly services include a reasonable amount of revisions based on the package or scope purchased.

Revisions may include:

Text edits

Image swaps

Minor design adjustments

Layout refinements

Correction of errors

Minor content updates

Minor mobile adjustments

Revisions do not include:

Full redesigns

New pages outside the agreed scope

New features

New functionality

Major layout restructuring

Brand direction changes

New integrations

Custom coding

Work caused by Client or third-party modifications

Requests outside the original scope

Revision requests must be submitted clearly and in writing.

Golden Web Marketing may require revision requests to be submitted as one consolidated list rather than scattered requests across multiple messages.

Excessive, unclear, repeated, or disproportionate revision requests may be declined, delayed, or billed separately.

Golden Web Marketing reserves the right to determine whether a request is a reasonable revision or an out-of-scope change.

  1. WEBSITE HOSTING

If hosting is included in the Client’s package or invoice, Golden Web Marketing may provide managed website hosting through a third-party hosting platform.

Hosting services may include:

Website hosting

SSL certificate setup

Basic server management

Routine monitoring

Daily or periodic backups

Security hardening where available

Staging environment where available

Performance-related hosting configuration

Golden Web Marketing does not guarantee uninterrupted hosting, uninterrupted website access, server uptime, or complete protection from downtime.

The Client understands that hosting depends on third-party infrastructure, data centers, DNS systems, internet service providers, domain registrars, software updates, and other factors outside Golden Web Marketing’s direct control.

Golden Web Marketing is not responsible for outages, slowdowns, errors, or technical issues caused by:

Hosting providers

Domain registrars

DNS providers

WordPress updates

Plugin conflicts

Theme conflicts

Third-party scripts

Client modifications

Unauthorized access

Malware

Cyber attacks

Internet outages

Server-level issues outside Golden Web Marketing’s control

High traffic or resource usage may require upgraded hosting at an additional cost.

Golden Web Marketing does not provide email hosting unless specifically agreed to in writing.

  1. WEBSITE MAINTENANCE AND SUPPORT

If website maintenance or support is included, Golden Web Marketing may provide routine maintenance and technical support for the Client’s website.

Maintenance may include:

WordPress updates

Plugin updates

Theme updates

Basic security monitoring

Basic uptime review

Form testing

Minor technical fixes

Backup review

Troubleshooting

General website support

Support does not include unlimited design work, unlimited content changes, new pages, new features, custom development, complex troubleshooting, emergency support outside business hours, or repair of damage caused by Client or third-party changes unless agreed to in writing.

If the Client or another party modifies the website, installs plugins, edits code, changes DNS records, modifies hosting, changes tracking scripts, removes access, or otherwise affects the website, Golden Web Marketing may charge additional fees to diagnose or repair the issue.

Golden Web Marketing may refuse to support websites that have been materially altered by the Client or a third party without Golden Web Marketing’s approval.

  1. SEARCH ENGINE OPTIMIZATION SERVICES

If SEO services are included, Golden Web Marketing may provide search engine optimization services designed to improve the Client’s online visibility.

SEO services may include:

Keyword research

On-page optimization

Title tag optimization

Meta description optimization

Header structure improvements

Internal linking

Service page optimization

City page optimization

Blog content strategy

Technical SEO review

Image alt text optimization

Google Search Console review

Sitemap review

Indexing support

Google Business Profile support

Local SEO recommendations

Content planning

SEO reporting

The specific SEO services included depend on the invoice, proposal, monthly plan, or written scope.

The Client understands that SEO is a long-term marketing strategy. Search engine performance depends on many factors outside Golden Web Marketing’s control, including but not limited to competition, Google algorithm updates, website history, domain authority, backlinks, content quality, technical issues, user behavior, business reputation, reviews, proximity, search demand, and market conditions.

Golden Web Marketing does not guarantee:

First-page rankings

Specific keyword rankings

Specific traffic levels

Specific lead volume

Specific phone call volume

Specific form submissions

Specific revenue

Specific timeline for results

SEO results may take several months or longer. Some industries and markets require more time, content, authority, and budget than others.

  1. GOOGLE BUSINESS PROFILE SERVICES

If Google Business Profile services are included, Golden Web Marketing may assist with setup, optimization, updates, service additions, business information, photos, categories, descriptions, and related profile improvements.

The Client understands that Google controls Google Business Profile visibility, verification, suspensions, reinstatements, rankings, map placement, review display, and profile approval.

Golden Web Marketing is not responsible for:

Google Business Profile suspensions

Verification delays

Profile reinstatement delays

Google review filtering

Google review removal

Map ranking changes

Category limitations

Profile edits rejected by Google

Policy updates

Competitor activity

Google platform errors

The Client is responsible for ensuring that all business information provided to Golden Web Marketing is accurate, lawful, and compliant with Google’s policies.

  1. GOOGLE ADS AND PPC SERVICES

If Google Ads, PPC, or paid advertising management is included, Golden Web Marketing may provide advertising services through Google Ads or other agreed platforms.

Google Ads services may include:

Google Ads account setup or review

Campaign strategy

Keyword research

Campaign structure

Search campaign setup

Ad group creation

Ad copywriting

Location targeting

Budget recommendations

Conversion tracking setup where possible

Call tracking review where applicable

Landing page recommendations

Negative keyword management

Search term review

Bid adjustments

Budget monitoring

Campaign optimization

Performance review

Reporting or performance summaries

The specific advertising services included depend on the invoice, proposal, monthly plan, or written scope.

Unless specifically stated in writing, Google Ads management does not include management of Facebook Ads, Instagram Ads, TikTok Ads, LinkedIn Ads, Microsoft Ads, YouTube Ads, Local Service Ads, Shopping Ads, Display Ads, Performance Max campaigns, or any other advertising platform.

  1. GOOGLE ADS BUDGET AND AD SPEND

Google Ads requires an advertising budget.

The Client understands that ad spend and management fees are separate unless the invoice states otherwise.

Ad spend is the money paid to Google or another advertising platform to purchase advertising placement.

Management fees are paid to Golden Web Marketing for strategy, setup, monitoring, optimization, reporting, communication, campaign management, tracking review, and related service work.

Depending on the invoice or arrangement, ad spend may be handled in one of the following ways:

The Client pays Google directly using the Client’s own payment method inside the ad account.

The Client pays Golden Web Marketing a combined monthly amount, and Golden Web Marketing allocates a stated portion toward ad spend.

The Client separately funds the ad account while paying Golden Web Marketing a management fee.

If the Client pays Golden Web Marketing a combined monthly amount, the invoice, written proposal, or written communication may identify the portion allocated to ad spend.

If an invoice does not specifically identify a guaranteed ad spend allocation, the Client should request clarification before submitting payment.

The Client understands that Google may spend slightly above or below expected daily or monthly pacing due to Google’s ad delivery system, auction behavior, delayed reporting, automated bidding, or billing rules.

Golden Web Marketing is not responsible for minor budget variations caused by Google’s advertising system.

Any major increase in monthly advertising budget must be approved by the Client in writing.

  1. GOOGLE ADS PERFORMANCE DISCLAIMERS

The Client understands that Google Ads performance cannot be guaranteed.

Golden Web Marketing does not guarantee:

Specific number of leads

Specific number of phone calls

Specific number of form submissions

Specific cost per lead

Specific cost per click

Specific click-through rate

Specific conversion rate

Specific return on ad spend

Specific sales

Specific revenue

Specific profit

Specific search impression share

Specific ad position

Specific campaign approval

Specific campaign delivery

Paid advertising results depend on many factors outside Golden Web Marketing’s control, including:

Ad budget

Industry competition

Keyword costs

Search demand

Location targeting

Seasonality

Website quality

Landing page quality

Offer strength

Business reputation

Online reviews

Client response time

Client sales process

Pricing

Google auction behavior

Google policy changes

Consumer demand

Tracking limitations

Golden Web Marketing will use reasonable professional effort to manage and optimize campaigns, but the Client acknowledges that advertising always involves financial risk.

  1. GOOGLE ADS ACCOUNT ACCESS AND POLICY COMPLIANCE

The Client agrees to provide access to accounts necessary for advertising management, including where applicable:

Google Ads

Google Analytics

Google Search Console

Google Tag Manager

Google Business Profile

Website admin dashboard

Call tracking software

CRM or lead management tools

Domain/DNS access

The Client is responsible for ensuring that their business, services, offers, claims, website content, guarantees, pricing, landing pages, and advertising statements comply with all laws and advertising platform policies.

Golden Web Marketing may refuse to run ads that appear misleading, prohibited, restricted, risky, unlawful, or likely to violate Google policies.

Golden Web Marketing is not responsible for:

Ad disapprovals

Account suspensions

Verification delays

Policy restrictions

Billing issues

Rejected ads

Limited ad delivery

Platform errors

Google review delays

Google account access issues

Google policy changes

Industry restrictions

The Client understands that Google controls its advertising platform and may approve, reject, limit, suspend, or disable campaigns or accounts at its discretion.

  1. CONVERSION TRACKING AND REPORTING

Golden Web Marketing may assist with tracking setup when included in the Client’s package or scope.

Tracking may include:

Google Analytics

Google Tag Manager

Google Ads conversion tracking

Phone click tracking

Form submission tracking

Call tracking

Website event tracking

The Client understands that tracking may not always be perfectly accurate due to:

Browser restrictions

Cookie limitations

Consent settings

iOS privacy updates

Ad blockers

Call tracking limitations

Form platform limitations

Third-party script issues

User behavior

Platform reporting delays

Cross-device behavior

Google attribution models

Golden Web Marketing is not responsible for data discrepancies between Google Ads, Google Analytics, call tracking software, CRM systems, website forms, or other reporting tools.

Reports are intended to provide useful performance insight, not a financial guarantee or exact accounting record.

  1. CONTENT CREATION

If content creation is included, Golden Web Marketing may create or assist with website copy, SEO content, blog content, service page content, Google Ads copy, landing page copy, meta descriptions, headings, FAQs, and related marketing content.

The Client is responsible for reviewing and approving all content before publication.

The Client is responsible for the accuracy, legality, compliance, and truthfulness of all claims made in published or advertised content.

Golden Web Marketing may use AI tools, templates, research, Client-provided information, competitor review, and professional judgment to create content.

The Client understands that AI-assisted content may require factual review and editing.

Golden Web Marketing is not liable for errors, omissions, legal claims, advertising disapprovals, or business consequences resulting from content approved by the Client.

  1. AI-ASSISTED WORK

The Client acknowledges that Golden Web Marketing may use artificial intelligence tools to assist with:

Website copy

Blog writing

SEO content

Ad copy

Landing page drafts

Research

Outlines

FAQs

Design concepts

Image ideas

Strategy documents

Technical troubleshooting

Workflow support

AI tools are used to support efficiency and creativity, but all final business claims, service descriptions, legal claims, guarantees, statistics, and factual statements should be reviewed by the Client.

The Client is responsible for approving content before use.

Golden Web Marketing does not guarantee that AI-assisted content will be free from errors, similarities, omissions, or inaccuracies.

  1. CLIENT RESPONSIBILITIES

The Client agrees to cooperate with Golden Web Marketing and provide timely, accurate, and complete information necessary to perform the services.

The Client is responsible for:

Providing business information

Providing website content when requested

Providing images, logos, and branding assets

Providing account access

Providing domain access when needed

Providing Google account access when needed

Providing service area information

Providing accurate pricing, service, licensing, and business details

Reviewing deliverables

Approving content

Responding to feedback requests

Making payments on time

Responding to leads

Maintaining accurate contact information

Notifying Golden Web Marketing of business changes

The Client understands that delays in providing information, content, approvals, payment, or access may delay the project or negatively affect performance.

Golden Web Marketing is not responsible for missed deadlines, delayed launch, paused ads, poor campaign performance, SEO delays, or technical issues caused by the Client’s failure to provide required materials, access, payment, or approvals.

  1. CLIENT CONTENT AND LEGAL RESPONSIBILITY

The Client is solely responsible for all content, images, videos, logos, trademarks, service descriptions, claims, guarantees, reviews, testimonials, business information, and other materials provided to Golden Web Marketing.

The Client represents that they have the legal right to use all materials provided to Golden Web Marketing.

The Client agrees not to provide materials that are illegal, infringing, misleading, defamatory, deceptive, obscene, harmful, or in violation of any third-party rights.

The Client agrees to indemnify and hold Golden Web Marketing harmless from claims related to Client-provided content, including copyright, trademark, privacy, advertising, consumer protection, or intellectual property claims.

  1. PAYMENT TERMS

The Client agrees to pay all invoices according to the invoice terms.

Unless otherwise stated, invoices are due upon receipt.

Services may not begin until payment is received.

For recurring services, payment is required in advance for the upcoming service period.

All payments are non-refundable unless Golden Web Marketing agrees otherwise in writing.

Payments are non-refundable because Golden Web Marketing allocates time, resources, tools, hosting, strategy, account setup, labor, and service capacity upon payment.

If a payment fails, is declined, is reversed, is disputed, or is not received, Golden Web Marketing may pause or suspend services immediately.

Suspended services may include:

Website work

Hosting

Maintenance

Support

SEO

Google Ads management

Advertising activity

Reporting

Communication

Golden Web Marketing is not responsible for downtime, lost rankings, paused ads, lost traffic, lost leads, lost revenue, or business losses caused by non-payment or failed payment.

  1. CHARGEBACKS AND PAYMENT DISPUTES

The Client agrees not to initiate a chargeback or payment dispute for services already rendered, work already started, hosting already provided, advertising management already performed, or time already allocated.

If the Client has a concern about billing or services, the Client agrees to contact Golden Web Marketing first and allow a reasonable opportunity to resolve the issue.

A chargeback, payment dispute, reversed payment, or unauthorized payment reversal may be considered a material breach of this Agreement.

The Client may be responsible for:

Outstanding balances

Chargeback fees

Payment processing fees

Collection costs

Legal fees

Administrative costs

Losses caused by the dispute

Golden Web Marketing may suspend or terminate all services after a chargeback or disputed payment.

  1. LATE PAYMENTS

If payment is late, Golden Web Marketing may pause services until payment is received.

Late payments may result in:

Paused website work

Paused SEO work

Paused Google Ads management

Paused campaign monitoring

Paused hosting

Paused support

Delayed timelines

Reactivation fees

Loss of service priority

Golden Web Marketing is not responsible for any negative effects caused by late payment, including lost rankings, paused campaigns, website downtime, missed deadlines, or reduced performance.

  1. CANCELLATION

Unless otherwise stated in writing, recurring monthly services may be canceled with 30 days written notice.

Cancellation requests must be submitted in writing.

Verbal cancellation requests are not valid unless confirmed in writing by Golden Web Marketing.

The Client remains responsible for all payments due through the final billing period.

No prorated refunds are provided for partial months.

If cancellation occurs after a recurring invoice has been issued or after a billing cycle has started, the Client may still be responsible for that billing cycle.

Website hosting, maintenance, SEO, support, Google Ads management, and other ongoing services may stop at the end of the final paid service period.

  1. TERMINATION BY GOLDEN WEB MARKETING

Golden Web Marketing may suspend or terminate services immediately if the Client:

Fails to pay

Initiates a chargeback

Provides false or misleading information

Engages in illegal activity

Requests unethical or deceptive work

Violates platform policies

Uses the website for prohibited activity

Acts abusively or threateningly

Repeatedly refuses to cooperate

Creates legal, financial, technical, or reputational risk

Breaches this Agreement

Upon termination, Golden Web Marketing may stop all services, revoke access, pause campaigns, remove unpaid work, suspend hosting, and cease communication except as required to wind down the account.

  1. WEBSITE ACCESS AFTER CANCELLATION

If Golden Web Marketing provides hosting, the Client’s website may remain active through the final paid service period.

After cancellation, Golden Web Marketing may provide a limited period for migration if all balances are paid.

Unless otherwise stated in writing, Golden Web Marketing is not required to provide ongoing hosting, maintenance, support, backups, updates, or access after services end.

If the Client wants to move the website elsewhere, the Client may request a website transfer, export, or buyout if available.

  1. WEBSITE BUYOUT OR TRANSFER

Some websites created by Golden Web Marketing may be built as part of a monthly service model.

If the Client cancels and wants to take ownership of the website files, Golden Web Marketing may offer a website buyout or transfer option.

The availability, cost, and terms of a website buyout may depend on:

The Client’s package

The length of service

The amount paid to date

The website structure

Licensing restrictions

Third-party tools

Outstanding balances

Whether proprietary assets are included

A website buyout may include eligible website files, database, uploads, and content.

A website buyout does not include:

Golden Web Marketing proprietary systems

Internal workflows

Premium licenses that cannot be transferred

Third-party accounts owned by Golden Web Marketing

Custom tools not included in the scope

Google Ads campaign structures

SEO strategy documents

Templates not licensed for transfer

Migration support unless specifically included

If the Client does not purchase or request a transfer, Golden Web Marketing may remove the website from its hosting environment after the cancellation period ends.

  1. DOMAIN NAMES

The Client is responsible for domain name ownership, renewal, DNS access, and registrar account management unless Golden Web Marketing has specifically agreed to manage these services.

If the Client owns the domain, the Client is responsible for keeping the domain active and paid.

If a domain expires, is not renewed, is misconfigured, or is lost due to Client inaction, Golden Web Marketing is not responsible for resulting downtime, lost rankings, lost email, lost traffic, lost leads, or business losses.

If Golden Web Marketing purchases a domain on behalf of the Client, ownership and transfer terms must be agreed to separately in writing.

Unless otherwise agreed in writing, Golden Web Marketing may retain administrative control of domains purchased through Golden Web Marketing until all balances, buyout fees, transfer fees, or related obligations are satisfied.

  1. THIRD-PARTY TOOLS, PLUGINS, THEMES, AND LICENSES

Golden Web Marketing may use third-party tools, plugins, themes, fonts, software, scripts, APIs, tracking tools, form tools, hosting platforms, and integrations to provide services.

These tools are governed by their own terms, licenses, pricing, restrictions, and policies.

The Client understands that third-party tools may:

Change pricing

Discontinue services

Break after updates

Create compatibility issues

Require license renewals

Restrict transfers

Limit features

Experience outages

Change policies

Become unsupported

Golden Web Marketing is not responsible for third-party software failures, price changes, vulnerabilities, outages, discontinued products, or compatibility problems outside Golden Web Marketing’s control.

If a third-party tool requires a paid license, the Client may be responsible for the cost unless it is specifically included in the Client’s package.

  1. INTELLECTUAL PROPERTY

The Client retains ownership of content, logos, images, trademarks, and materials they provide to Golden Web Marketing, provided the Client has the legal right to use them.

Processes

Templates

Frameworks

Workflows

Strategy methods

Campaign structures

Custom code not specifically sold to the Client

SEO processes

Advertising processes

Reporting structures

Design systems

Reusable assets

Business methods

Know-how

Golden Web Marketing may reuse general knowledge, skills, techniques, ideas, structures, and experience gained during the project.

The Client may not copy, resell, redistribute, license, or provide Golden Web Marketing’s proprietary systems, templates, strategies, or internal materials to another provider without written permission.

  1. PORTFOLIO AND MARKETING RIGHTS

Unless the Client requests otherwise in writing, Golden Web Marketing may use completed work for portfolio, marketing, case study, educational, or promotional purposes.

This may include:

Website screenshots

Before-and-after examples

Performance summaries

General project descriptions

Industry examples

Publicly available business information

Golden Web Marketing will not intentionally disclose confidential information, private login credentials, private financial information, or sensitive Client data in marketing materials.

Both parties agree to use reasonable care to protect confidential information shared during the business relationship.

Confidential information may include:

Login credentials

Private business information

Internal strategy

Non-public financial information

Customer data

Proprietary processes

Private communications

Confidential information does not include information that is public, independently developed, already known, or lawfully obtained from another source.

Golden Web Marketing may share necessary information with contractors, vendors, platforms, or service providers as needed to perform services.

  1. DATA PRIVACY AND COMPLIANCE

The Client is responsible for ensuring that their website, business practices, advertising, forms, tracking tools, privacy policies, cookie notices, call recording practices, and data collection comply with applicable laws.

Applicable laws may include, but are not limited to:

State privacy laws

Federal privacy laws

GDPR

CCPA

Advertising laws

Consumer protection laws

Industry-specific regulations

Call recording laws

Cookie consent laws

Golden Web Marketing may assist with basic technical implementation of privacy-related tools if included in scope, but Golden Web Marketing does not provide legal advice.

The Client should consult an attorney for legal compliance, privacy policies, terms and conditions, advertising claims, disclaimers, regulated industries, or data protection obligations.

  1. SECURITY

Golden Web Marketing uses reasonable efforts to protect websites and accounts within the scope of services.

However, no website, server, plugin, platform, or digital system can be guaranteed completely secure.

Golden Web Marketing is not responsible for security incidents caused by:

Weak passwords

Client negligence

Unauthorized users

Third-party tools

Plugin vulnerabilities

Theme vulnerabilities

Hosting provider issues

Malware

Phishing

Hacking

Client-installed software

Client sharing credentials

Third-party account compromise

The Client agrees to use strong passwords, maintain secure account access, and notify Golden Web Marketing promptly of suspected security issues.

  1. BACKUPS

If hosting is provided by Golden Web Marketing, backups may be maintained according to the hosting environment and service package.

Backups are intended as a recovery aid and are not a guarantee against data loss.

Golden Web Marketing is not responsible for data loss caused by:

Client changes

Third-party changes

Plugin errors

Theme errors

Hosting provider failure

Unauthorized access

Malware

Deleted content

Expired services

Unpaid invoices

Migration errors

Backup availability may end after cancellation, non-payment, termination, or hosting removal.

  1. COMMUNICATION

The Client agrees to communicate in a timely, clear, and professional manner.

Golden Web Marketing may communicate through:

Email

Phone

Text

Video call

Project management tools

Client portals

Forms

Other agreed communication channels

The Client agrees to provide feedback, approvals, access, and information within a reasonable timeframe.

Delays in communication may delay services, deliverables, campaign launches, website launches, SEO work, and support requests.

  1. BUSINESS HOURS

Unless otherwise stated, Golden Web Marketing’s standard business hours are:

Monday through Friday
9:00 AM to 6:00 PM Eastern Time

Golden Web Marketing may respond outside business hours at its discretion, but is not required to do so unless a separate written agreement provides for after-hours support.

Emergency support is not guaranteed unless specifically included in the Client’s package or agreement.

  1. EMERGENCY SUPPORT

Website emergencies may include:

Complete website outage

Website inaccessible

Critical form failure

Active malware issue

Major security issue

SSL failure affecting site access

The following are generally not considered emergencies:

Lower Google rankings

Lower ad performance

Lower traffic

Lower lead volume

Routine content edits

Design preferences

Non-critical layout changes

General SEO questions

General reporting questions

Google Ads fluctuations

Golden Web Marketing will use reasonable efforts to address emergencies promptly but cannot guarantee immediate resolution when issues depend on third-party platforms, hosting providers, Google, DNS, plugins, or other outside systems.

  1. NO PROFESSIONAL LEGAL, TAX, OR FINANCIAL ADVICE

Golden Web Marketing provides digital marketing, website, SEO, advertising, and related technical services.

Golden Web Marketing does not provide legal, tax, accounting, financial, insurance, compliance, or professional regulatory advice.

Any documents, policies, disclaimers, or recommendations provided by Golden Web Marketing are for general informational or operational purposes only and should be reviewed by qualified professionals where appropriate.

  1. PROHIBITED CLIENT ACTIVITIES

The Client agrees not to use Golden Web Marketing services, websites, hosting, advertising, or related systems for:

Illegal activity

Fraud

Scams

Phishing

Malware

Spam

Deceptive advertising

Misleading claims

Copyright infringement

Trademark infringement

Harassment

Hate content

Adult content unless approved in writing

Gambling unless approved in writing

Restricted products unless approved in writing

Regulated products without proper compliance

Unauthorized data collection

Privacy violations

Any activity that may harm Golden Web Marketing, its vendors, platforms, servers, reputation, or other clients

Golden Web Marketing may refuse, suspend, or terminate services if the Client engages in prohibited activity.

  1. SERVICE LIMITATIONS

The Client understands that Golden Web Marketing’s services are subject to reasonable limitations.

Golden Web Marketing does not guarantee:

Uninterrupted website operation

Perfect website security

Perfect tracking accuracy

Perfect SEO performance

Perfect ad performance

Immediate response times

Compatibility with all devices and browsers forever

Permanent rankings

Permanent ad approvals

Permanent platform access

Exact reporting accuracy

Specific business outcomes

Technology, platforms, algorithms, policies, and market conditions change over time. Additional work may be required to adapt to these changes.

  1. DELAYS

Project timelines and service timelines may be affected by:

Client delays

Missing content

Missing access

Payment delays

Delayed approvals

Third-party outages

Google reviews or approvals

Domain/DNS propagation

Hosting issues

Software conflicts

Scope changes

Client-requested revisions

Platform verification

Force majeure events

Golden Web Marketing is not responsible for delays caused by the Client, third-party platforms, or circumstances outside Golden Web Marketing’s reasonable control.

  1. FORCE MAJEURE

Golden Web Marketing is not liable for delays, failures, or interruptions caused by events beyond its reasonable control, including:

Natural disasters

Weather events

Pandemics

Government actions

Power outages

Internet outages

Cyber attacks

War

Terrorism

Civil unrest

Labor disruptions

Platform outages

Hosting outages

Google outages

Payment processor outages

Third-party service failures

Deadlines may be extended as reasonably necessary during such events.

  1. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Golden Web Marketing’s total liability for any claim arising from services, this Agreement, an invoice, a website, advertising, SEO, hosting, or related work shall not exceed the amount paid by the Client to Golden Web Marketing for the specific service giving rise to the claim during the three months before the event.

Lost profits

Lost revenue

Lost business

Lost data

Lost leads

Lost rankings

Lost ad spend

Lost opportunities

Indirect damages

Incidental damages

Special damages

Consequential damages

Punitive damages

Third-party platform failures

Google Ads disapprovals

Google account suspensions

Website downtime

SEO ranking changes

Advertising performance changes

Client business decisions

Client sales process failures

Client failure to respond to leads

  1. INDEMNIFICATION

The Client agrees to indemnify, defend, and hold harmless Golden Web Marketing, its owners, employees, contractors, vendors, affiliates, and representatives from any claims, damages, liabilities, losses, costs, or expenses arising from:

Client-provided content

Client-provided images

Client business practices

Client services

Client advertising claims

Client offers or guarantees

Client website use

Client violation of laws

Client violation of platform policies

Client violation of intellectual property rights

Client privacy violations

Client customer disputes

Client products or services

Client negligence

Client breach of this Agreement

Unauthorized use of accounts or credentials provided by the Client

This obligation survives termination of services.

  1. DISPUTE RESOLUTION

The parties agree to first attempt to resolve disputes informally and in good faith.

The Client agrees to notify Golden Web Marketing in writing of any issue and allow a reasonable opportunity for Golden Web Marketing to investigate and respond before pursuing formal action.

If a dispute cannot be resolved informally, the dispute shall be handled according to the laws of the State of Florida unless otherwise required by law.

  1. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Florida, without regard to conflict of law principles.

  1. SEVERABILITY

If any provision of this Agreement is found invalid, unlawful, or unenforceable, the remaining provisions shall remain valid and enforceable.

  1. NO WAIVER

Failure by Golden Web Marketing to enforce any provision of this Agreement does not waive Golden Web Marketing’s right to enforce that provision in the future.

  1. ASSIGNMENT

The Client may not assign, transfer, or delegate this Agreement without written approval from Golden Web Marketing.

Golden Web Marketing may assign or transfer this Agreement to a successor, affiliate, contractor, vendor, or related entity as needed to provide services or continue business operations.

  1. INDEPENDENT CONTRACTOR

Golden Web Marketing is an independent contractor.

Nothing in this Agreement creates a partnership, joint venture, employment relationship, franchise relationship, or agency relationship between Golden Web Marketing and the Client.

  1. ENTIRE AGREEMENT

This Customer Agreement, together with the applicable invoice, proposal, written scope, or service description, constitutes the full agreement between Golden Web Marketing and the Client.

It supersedes all prior oral or written discussions, proposals, messages, understandings, or representations related to the services.

  1. UPDATES TO THIS AGREEMENT

Golden Web Marketing may update this Customer Agreement from time to time.

The most current version will be posted on Golden Web Marketing’s customer agreement page or otherwise made available to the Client.

Continued use of Golden Web Marketing’s services after updates are posted or provided constitutes acceptance of the updated Agreement.

Material changes will not apply retroactively to completed work, but may apply to ongoing or future services.

  1. ACKNOWLEDGMENT AND ACCEPTANCE

By paying an invoice, approving a proposal, submitting payment, checking an agreement box, signing an agreement, providing written approval, or continuing to use Golden Web Marketing’s services, the Client acknowledges and agrees that:

They have had the opportunity to review this Customer Agreement.

They understand that payment of an invoice serves as acceptance of this Agreement.

They understand that the invoice, proposal, or written service description defines the services being purchased.

They agree to pay all amounts owed.

They agree to comply with all Client responsibilities.

They understand that digital marketing, SEO, websites, hosting, and advertising involve third-party platforms and performance risks.

They understand that Golden Web Marketing does not guarantee rankings, traffic, leads, sales, revenue, or business outcomes.

They agree to be bound by this Customer Agreement.
